NEM Insurance Plc held its 56th Annual General Meeting on 14th May 2026 at the MUSON Centre, Lagos, covering the 2025 financial year. The meeting resulted in the passage of six ordinary resolutions and two special resolutions, including dividend approval and board changes.

NEM Insurance Plc convened its 56th Annual General Meeting on Thursday, 14th May 2026 at the Shell Hall, MUSON Centre, Marina, Lagos. The meeting addressed the company's audited financial statements for the year ended 31st December 2025.

Shareholders approved a dividend of ₦1.50k for every ordinary share of ₦1.00 each, payable to shareholders whose names appeared on the company's Register of Members at the close of business on Tuesday, 14th April 2026.

Three directors were re-elected: Mrs. Abisola Giwa-Osagie, Chief Anthony Aletor CON (mni) JP, and Dr. Daphne Dafinone. The board was also authorised to fix the remuneration of external auditors for the financial year ending 31st December 2026.

The Statutory Audit Committee was reconstituted with two non-executive directors — Mr. Kelechi Okoro and Mrs. Abisola Giwa-Osagie — and three shareholders' representatives: Mr. Christopher Ogba, Mr. Taiwo Oderinde, and Mr. Samuel Mpamaugo.

Under special resolutions, shareholders ratified the remuneration of non-executive directors for the year ending 31st December 2026 and renewed a general mandate allowing the company and its related entities to enter into recurrent related-party transactions on normal commercial terms until the next AGM.
