Airtel Africa share capital and voting rights update, Nov 2026

Airtel Africa Plc filed a Total Voting Rights and Capital notice on 2 November 2026, disclosing its issued share capital and the total number of voting rights as at the close of business on 31 October 2026. The filing was made in compliance with the Financial Conduct Authority's Disclosure Guidance and Transparency Rule 5.6.1R.

Airtel Africa Plc (AIRTELAFRI) notified both the London and Lagos markets on 2 November 2026 of its current share capital position, as required under the FCA's Disclosure Guidance and Transparency Rule 5.6.1R.

As at the close of business on 31 October 2026, the company's total issued share capital stood at 3,630,365,966 ordinary shares, each with a nominal value of USD 0.50 per share and carrying one vote per share.

Of that total, 6,136,678 ordinary shares are held in treasury. Shares held in treasury carry no voting rights and are therefore excluded from the voting rights calculation.

After stripping out the treasury shares, the total number of voting rights available to shareholders is 3,624,229,288. This figure serves as the denominator that shareholders must use when calculating whether their interest in the company crosses a disclosure threshold under FCA transparency rules.

The filing was authorised by Simon O'Hara, Group Company Secretary. Airtel Africa operates across 14 countries in sub-Saharan Africa, offering mobile voice, data and mobile money services.
