BUA Cement AGM 2026: ₦10 Dividend Approved, Directors Re-elected
BUA Cement Plc has filed resolutions passed at its 10th Annual General Meeting held on 21st May 2026 at Transcorp Hilton Hotel, Abuja. The filing covers dividend approval, director re-elections, audit committee composition, and non-executive director remuneration for the 2026 financial year.
BUA Cement Plc (BUACEMENT) held its 10th Annual General Meeting on Thursday, 21st May 2026, at the Congress Hall of Transcorp Hilton Hotel, Abuja. The following resolutions were passed and filed with the exchange on 22nd May 2026.
Shareholders approved the company's audited financial statements for the year ended 31st December 2025, alongside reports from the Directors, External Auditors, and Audit Committee.
A dividend of ₦10.00 per ordinary share of 50 kobo was approved for the period ended 31st December 2025.
Three directors — Kabiru Rabiu, Chimaobi Madukwe, and Ganiat Adetutu Siyonbola — were re-elected after retiring by rotation. The board was authorised to fix external auditor remuneration for the year ending 31st December 2026.
The Statutory Audit Committee for 2026 was constituted, comprising three shareholder representatives and two board representatives.
Non-executive director remuneration for 2026 was fixed at ₦16,562,000 for Non-Executive Directors, ₦18,928,000 for Independent Non-Executive Directors, and ₦23,660,000 for the Chairman.
Shareholders also renewed the general mandate permitting the company to transact with related parties on normal commercial terms, in compliance with NGX Issuers Rules.
