Cornerstone Insurance AGM: 28 Kobo Dividend Approved

Cornerstone Insurance Plc has filed the resolutions passed at its 34th Annual General Meeting held on July 20, 2026 at MUSON Centre, Lagos. The filing covers dividend approval, director elections, auditor remuneration, and audit committee appointments.
Cornerstone Insurance Plc (CORNERST) held its 34th Annual General Meeting on Monday, July 20, 2026, at Shell Hall, MUSON Centre, Onikan, Lagos. Eight resolutions were passed and subsequently filed with the Nigerian Exchange Limited.
Shareholders approved a total dividend of ₦5,086,590,040.00, translating to 28 kobo per ordinary share of 50 kobo each, for the financial year ended December 31, 2025. The audited financial statements for the same period, along with reports from the Directors, Auditors, and Audit Committee, were also received.
Four new directors were elected: Mr. Afolabi Balogun, Mr. Ibrahim Ibisomi, Mr. Philip Southwell, and Mr. Olukayode Pitan. Three retiring directors — Mrs. Christabel Onyejekwe, Prof. Ogechi Adeola, and Mr. Peter Ekwueme — were re-elected.
Messrs Deloitte & Touche were retained as External Auditors, with the Board authorised to fix their remuneration for the financial year ending December 31, 2026. The Statutory Audit Committee was constituted with three shareholder representatives and two Board representatives. Directors were also authorised to approve Non-Executive Director remuneration and to procure goods and services from related third parties.
