NCR (Nigeria) PLC has notified the Nigerian Exchange Limited that its Board of Directors approved the company's unaudited financial statements for the first quarter ended 31 March 2026 at a meeting held on 22 April 2026. However, the Board was unable to approve the audited financial statements for the full year ended 31 December 2025 due to ongoing internal reviews and alignment processes with the company's external auditors.

NCR (Nigeria) PLC filed a corporate action notice with the Nigerian Exchange Limited on 24 April 2026, disclosing the outcome of a Board of Directors meeting held on 22 April 2026.

At that meeting, the Board considered and approved the company's unaudited financial statements for the first quarter ended 31 March 2026. However, approval of the audited financial statements for the full year ended 31 December 2025 was not granted, as the Board cited ongoing internal reviews and continued alignment with the company's external auditors as the reason for the delay.

As a direct consequence of the pending 2025 audited accounts, the company's closed period — which restricts company insiders from transacting in NCR Nigeria shares — remains in force. The closed period commenced on 31 December 2025 and will remain in effect until 24 hours after both the 2025 audited financial statements and the Q1 2026 unaudited financial statements have been formally released to the market.
