Seplat Energy AGM 2026: All Resolutions Passed by Shareholders

Seplat Energy PLC has filed the results of its Thirteenth Annual General Meeting held virtually on 20 May 2026. All resolutions put to shareholders were passed by the requisite majority, including approval of the 2025 audited financial statements and a final dividend.

Seplat Energy PLC announced on 21 May 2026 that all resolutions presented at its Thirteenth Annual General Meeting, held virtually on 20 May 2026, were duly passed by shareholders.

Shareholders voted to receive the audited financial statements for the year ended 31 December 2025, with 99.99% of votes cast in favour. A final dividend recommended by the Board in respect of the 2025 financial year was also approved, with 99.99% of votes cast in favour across 412,229,915 shares.

Two new board appointments were approved: Mr. Larry Ettah as an Independent Non-Executive Director (99.97% in favour) and Mr. Tony Elumelu as a Non-Executive Director (99.96% in favour). Mr. Udoma Udo Udoma and Mr. Christopher Okeke were re-elected as Independent Non-Executive Directors.

PriceWaterhouseCoopers was re-appointed as auditors in accordance with Section 401 of CAMA 2020, without a resolution being required. The Board was authorised to determine auditors' remuneration.

The Directors' Remuneration Report, including the forward-looking Remuneration Policy, was approved with 99.99% of votes in favour. The Company's issued share capital at the time of the AGM stood at 599,944,561 shares of 50 kobo per share.
