United Capital Group has disclosed the full recapitalisation of its four Securities and Exchange Commission (SEC)-regulated subsidiaries — United Capital Investment Banking, United Capital Asset Management, United Capital Trustees, and United Capital Securities — under capital requirements introduced by the Investments and Securities Act 2025.

All four entities independently met or exceeded the applicable thresholds as of December 2025 audited figures, with no external capital raised. United Capital Plc (Issuing House) holds ₦9 billion against a ₦7 billion requirement; United Capital Trustees holds ₦7.5 billion against ₦2 billion; United Capital Securities holds ₦2.5 billion against ₦2 billion; and United Capital Asset Management holds ₦13.9 billion against a ₦10 billion Tier 1 threshold.

The disclosures were confirmed at the Group's AGM held in Abuja on April 24, 2026. Separately, the Board approved a final dividend of ₦0.70 per share, bringing total 2025 dividends to ₦1.00 per share, equivalent to ₦18 billion. The Group also reported a 35% rise in revenue to ₦58.55 billion and 17% growth in profit after tax to ₦28.15 billion for the 2025 financial year. AUM exceeded ₦2 trillion, with all seven subsidiaries recording profitability.
