United Capital Plc AGM: ₦1.00 Dividend Approved for 2025
United Capital Plc held its Annual General Meeting on April 24, 2026, at Transcorp Hilton Hotel, Abuja, where shareholders passed eight resolutions. The resolutions covered dividend approval, director re-elections, audit committee appointments, and board remuneration for the 2026 financial year.
United Capital Plc (UCAP) convened its Annual General Meeting on April 24, 2026, in Abuja, with shareholders approving a set of resolutions subsequently disclosed to the market on April 27, 2026.
Shareholders approved a final dividend of ₦12.6 billion for the year ended December 31, 2025, translating to 70 kobo per share. This final dividend is payable to shareholders who were on the register as of the close of business on April 7, 2026. Combined with the 30 kobo interim dividend already paid at half-year 2025, the total dividend for the 2025 financial year stands at ₦1.00 per ordinary share.
The meeting approved the re-election of Mr. Uche Ike, Mr. Chiugo Ndubisi, and Mrs. Rose Nat Eshiett as Non-Executive Directors. Shareholders also elected five members to the Statutory Audit Committee, comprising two board representatives and three shareholder representatives.
The remuneration of Non-Executive Directors was fixed at ₦325 million cumulatively for the financial year ending December 31, 2026. Shareholders additionally granted the Board a general mandate to approve recurrent related-party transactions of a revenue or trading nature, valid until the next AGM. The Board was also authorised to fix the auditors' remuneration for the 2026 financial year.
