Wema Bank Plc has filed notice of its 2025 Annual General Meeting, scheduled for May 20, 2026, to be held electronically via its website. The filing covers agenda items including dividend declaration, director elections, and a special resolution authorising the board to pursue acquisition of a commercial bank or other business combination.

Wema Bank Plc has notified shareholders of its 2025 Annual General Meeting (AGM), to be held virtually on Wednesday, May 20, 2026, at 11:00am via https://wemabank.com/AGM/. The notice was filed on April 24, 2026.

Under ordinary business, shareholders will consider the audited financial statements for the year ended December 31, 2025, a dividend declaration, and the election or re-election of four directors. The directors presented for re-election by rotation are Mrs. Abolanle Matel-Okoh, Mrs. Ibiye Ekong, and Mr. Adeyemi Adefarakan. Engr. Wilson Agu, appointed as Independent Non-Executive Director on February 11, 2026, and subsequently approved by the Central Bank of Nigeria, will be presented for shareholder ratification.

Under special business, the board is seeking shareholder authorisation to pursue the acquisition of a commercial bank or any other business combination in line with its stated strategic growth objectives, subject to regulatory approval.

Dividend payment, if approved, is scheduled for May 20, 2026, to shareholders on the register as at the close of business on April 29, 2026. The register of members will be closed from April 30 to May 6, 2026. Shareholders must submit proxy forms to Greenwich Registrars & Data Solutions, Yaba, Lagos, at least 48 hours before the meeting.
