Airtel Africa Total Voting Rights Update – September 2026

Airtel Africa Plc has filed a Total Voting Rights and Capital disclosure with the Nigerian Exchange and the London Stock Exchange, dated 1 September 2026. The filing sets out the company's issued share capital and the total number of voting rights as at the close of business on 31 August 2026.

Airtel Africa Plc (NGX: AIRTELAFRI) released a Corporate Actions filing on 1 September 2026, notifying the market of its total voting rights and issued share capital position as required under the Financial Conduct Authority's Disclosure Guidance and Transparency Rule 5.6.1R.

As at the close of business on 31 August 2026, the company's total issued share capital stood at 3,635,772,073 ordinary shares, each with a nominal value of USD 0.50 per share and carrying one vote per share.

Of that total, 6,136,678 ordinary shares are held in treasury. Shares held in treasury carry no voting rights and are therefore excluded from the voting rights denominator.

After deducting the treasury shares, the total number of voting rights available to shareholders — and to be used as the denominator for FCA Transparency Rule calculations — stands at 3,629,635,395.

This figure is the reference number shareholders must use to determine whether they are required to disclose a notifiable interest or a change in their interest in the company under FCA rules.

The filing was approved for release in Nigeria and signed by Simon O'Hara, Group Company Secretary. Airtel Africa operates in 14 countries across sub-Saharan Africa, providing mobile voice, data, and mobile money services.
