NCR Nigeria PLC Defaults on Q1 2026 Financial Filing
NCR (Nigeria) Plc has disclosed to the Nigerian Exchange Limited that it failed to file its Unaudited Financial Statements for Q1 ended 31 March 2026 by the regulatory deadline of 30 April 2026. The company attributes the default to NGX rules that prohibit filing unaudited quarterly statements before the prior year's audited accounts have been submitted.
NCR (Nigeria) Plc issued a press release dated 5 May 2026 notifying the Nigerian Exchange Limited (NGX) and the investing public of its default in filing the Unaudited Financial Statements (UFS) for the first quarter ended 31 March 2026.
The company's Board approved the Q1 2026 UFS at its meeting on 22 April 2026, but NGX rules prevent issuers from filing unaudited statements for a new financial year until the prior year's Audited Financial Statements (AFS) have been submitted. NCR's 2025 AFS remain unfiled.
The company explained that at its Board meeting on 27 March 2026, directors were unable to conclude review and approval of the 2025 AFS. This was due to the need for additional internal review following changes in the company's shareholding structure during the 2025 financial year, which required alignment of reporting processes.
NCR stated that the 2025 AFS are now being concluded and that it expects to submit both the 2025 AFS and the 2026 Q1 UFS to NGX by 30 May 2026 at the latest. The company is headquartered at St Nicholas House, Catholic Mission Street, Lagos.
