At its 20th Annual General Meeting held on May 8, 2026, in Abuja, Transnational Corporation Plc (TRANSCORP) disclosed the following resolutions passed by its members.
Shareholders approved a final dividend of ₦1.60 per ordinary share for the year ended December 31, 2025. Combined with an interim dividend of ₦0.40 per share paid on August 19, 2025, the total dividend for the 2025 financial year amounts to ₦2.00 per ordinary share.
Three Independent Non-Executive Directors — Victor Famuyibo, Ahmadu Sambo, and Foluke Abdulrazaq, OON — were re-elected to the board. The Board was also authorised to fix auditors' remuneration for the 2026 financial year.
Shareholders approved cumulative Non-Executive Director remuneration of ₦790,000,000 for the year ending December 31, 2026, effective January 1, 2026.
A broad corporate authority was granted to the Directors to invest in, acquire, or divest from any business, and to undertake restructuring or reorganisation actions as deemed appropriate, subject to relevant laws and regulatory approvals where necessary.
A General Mandate was also approved for the company to enter recurrent transactions with related parties, valid until the next AGM.
