Unilever Nigeria AGM 2026: Dividend, Directors & Key Resolutions

Unilever Nigeria Plc notified the Nigerian Exchange Limited of six resolutions passed at its 2026 Annual General Meeting held on 8 May 2026 at the Shell Hall, Muson Centre, Onikan, Lagos.

Shareholders approved a dividend of ₦18,671,267,605.25, equivalent to ₦3.25 per share for the financial year ended 31 December 2025, subject to applicable withholding taxes and statutory deductions. The qualifying date for the dividend was the close of business on Friday, 10 April 2026.

Two new directors were elected to the board: Mr. Ibrahim Sodipe and Mr. Uchenna Nwakanma. Three existing directors — Mr. Michael Ikpoki, Mr. Ben Langat, and Ms. Ngozi Edozien — were re-elected following retirement by rotation.

The remuneration of Non-Executive Directors for the year ending 31 December 2026 was fixed at ₦120 million in directors' fees, with additional sitting allowances at agreed rates per meeting attended.

A five-member Statutory Audit Committee was constituted, comprising three shareholders' representatives and two directors' representatives. Shareholders also granted a general mandate authorising the company to procure goods, services, and financing from related parties during 2026 on normal commercial terms consistent with its transfer pricing policy.
