Vertiv Acquires UtilityInnovation Group for $2.6 Billion

Vertiv has announced an agreement to acquire UtilityInnovation Group (UIG) for up to $2.6 billion, aimed at enhancing its power management capabilities for data centers amid increasing electricity demands from artificial intelligence. The acquisition involves an initial cash payment of $1.45 billion at closing, with an additional potential payment of up to $1.15 billion contingent on UIG meeting specified earnings targets over the next 12 and 24 months.

The completion of the deal is expected in the fourth quarter of 2026, pending regulatory approvals and customary conditions. UIG, based in North Carolina, specializes in microgrid controls and systems that manage electricity from various sources.

Vertiv's Chief Executive, Gio Albertazzi, emphasized the importance of rapid site selection for AI data center operators. Additionally, Vertiv is involved in Airtel Africa's data center expansion in Lagos, having been selected as a main vendor for Nxtra's facility, which has a planned capacity of 42 megawatts, with construction phases set to complete by 2028.
