Premier Paints PLC: Xenergi Mandatory Tender Offer Details

Xenergi Plc (RC No: 1029509) has launched a Mandatory Tender Offer addressed to all other holders of ordinary shares in Premier Paint Plc (RC No: 49197), covering 2,000,000 ordinary shares equivalent to a 1.63% equity stake in the company. The offer is being made pursuant to Part XII, Section 142 of the Investments and Securities Act of 2025, and the Securities and Exchange Commission has granted authority to proceed and has registered the Tender Offer Document.

AIICO Capital Limited is acting as Financial Adviser to Xenergi Plc in connection with the transaction. CardinalStone Registrars Limited has been designated as the receiving agent for acceptance forms.

The acceptance period closes at 5:00pm on 17 July 2026, unless extended. Shareholders wishing to tender their shares are required to complete the accompanying Acceptance Form and deliver it to CardinalStone Registrars Limited by post, courier, or hand before the closure deadline. The offer document covers provisions including consideration, fractional shares, eligibility, dividends, withdrawal rights, settlement, taxation, and arrangements concerning Premier Paint directors and employees.
