Fidelity Bank Private Placement Results: 87.7% Subscription

Fidelity Bank Plc has filed the results of its private placement with the Securities and Exchange Commission, disclosing the allotment outcome for an offer of 14,800,000,000 ordinary shares of 50 kobo each, priced at ₦17.50 per share.

The offer opened and closed on Wednesday, December 31, 2025. A total of 20 applications were received for 16,776,200,000 ordinary shares, representing 113.4% of the shares on offer in valid applications. However, following the CBN capital verification process, the final subscription level settled at 87.7%.

Of the 20 applications received, 14 applications covering 12,238,058,000 ordinary shares were fully verified and allotted in full. One application for 1,609,550,000 ordinary shares was partially verified, with 735,942,000 shares allotted. Five applications covering 2,928,592,000 shares were not verified by the CBN.

Shares allotted are to be credited to the CSCS accounts of allottees on April 30, 2026, by the Registrars to the Issue, First Registrars and Investor Services Limited. Return monies for unverified applications are to be credited to affected investors' bank accounts on April 27, 2026. PAC Capital Limited served as Lead Issuing House for the transaction.
