MTN Nigeria AGM: ₦15 Final Dividend and Structural Separation Approved
MTN Nigeria Communications Plc held its Annual General Meeting virtually on 30 April 2026, passing nine resolutions covering dividends, board elections, auditor remuneration, and a structural separation transaction. The filing, dated 5 May 2026, discloses the outcomes of those resolutions as reported to the Nigerian Exchange Limited.
At its Annual General Meeting held on 30 April 2026, MTN Nigeria Communications Plc passed nine resolutions. Members approved a final dividend of ₦314.93bn, translating to ₦15 per ordinary share of 2 kobo, for the year ended 31 December 2025. This brings the total dividend declared for the 2025 financial year to ₦20 per share. The dividend was payable to shareholders on the register as at 8 April 2026, with payment scheduled for 5 May 2026, subject to withholding tax.
Members re-elected five directors, including Chairman Dr. Ernest Ndukwe OFR and Mr. Jens Schulte-Bockum, and authorised the board to fix the remuneration of auditors Ernst & Young for the 2026 financial year. Non-Executive Director remuneration for 2026 was fixed at ₦167,977,679 for the Chairman and ₦108,368,288 for each other Non-Executive Director, payable quarterly in arrears.
Three shareholder representatives were elected to the Statutory Audit Committee. Members also approved a general mandate for recurrent related-party transactions. Notably, a Proposed Structural Separation Transaction was approved, with the board authorised to take all steps necessary to implement it.
