MTN Nigeria AGM 2026: Dividend, Directors & Structural Split
MTN Nigeria Communications Plc held its 2026 Annual General Meeting virtually on 30 April 2026, passing nine resolutions covering dividends, board composition, auditor remuneration, and a proposed structural separation transaction. The resolutions were filed with the Nigerian Exchange Limited on 4 May 2026.
At its virtual Annual General Meeting held on 30 April 2026, MTN Nigeria Communications Plc passed nine resolutions. Members approved a final dividend of ₦15 per ordinary share, amounting to a total payout of ₦314.93bn for the year ended 31 December 2025. Combined with an earlier interim dividend, the total dividend for the 2025 financial year stands at ₦20 per share. The dividend is payable to shareholders whose names appeared on the register as at 9 April 2026, with payment scheduled for 5 May 2026, subject to withholding tax.
Five directors were re-elected, including Chairman Dr. Ernest Ndukwe OFR and Mr. Jens Schulte-Bockum. Ernst & Young was retained as auditor, with the Board authorised to fix their remuneration for 2026. Non-Executive Director remuneration was fixed at ₦167,977,679 for the Chairman and ₦108,368,288 for each other Non-Executive Director for the financial year ending 31 December 2026.
Members also approved a Proposed Structural Separation Transaction, authorising the Board to take all steps necessary to implement it, including executing agreements, appointing advisers, and engaging with regulatory authorities.
