Airtel Africa Plc Begins Share Buyback Programme in 2026

Airtel Africa Plc (AIRTELAFRI) announced on 22 May 2026 that it has commenced a share buyback programme, with the stated purpose of reducing the company's share capital. The programme targets the repurchase of up to 1% of the company's issued share capital as at the announcement date.

The company has appointed Barclays Capital Securities Limited to carry out on-market purchases. The agreement is structured in two parallel elements: a non-discretionary element under which Barclays will purchase between $50m and $60m worth of ordinary shares independently of the company, and a discretionary element under which the company may instruct Barclays to purchase up to an additional $50m of ordinary shares.

The programme commenced on 22 May 2026 and is expected to run until no later than 27 November 2026, unless terminated earlier. Additional tranches may be announced to meet the overall 1% repurchase objective.

Shareholders at the annual general meeting on 9 July 2025 had authorised a maximum repurchase of 366,072,677 ordinary shares. Following completion of a previous buyback programme, the remaining authority covers up to 357,042,221 ordinary shares. All shares acquired under this programme will be cancelled.
