UAC of Nigeria sells Livestock Feeds stake for ₦19.5bn

UAC of Nigeria PLC has filed a corporate action disclosure announcing an agreement to sell its 73.29% shareholding in Livestock Feeds PLC to Sunbeth Treenuts and Sesame Limited for ₦19.5 billion. The transaction is subject to regulatory approvals and values each LSF share at ₦8.85.

UAC of Nigeria PLC disclosed on 30 September 2026 that it has entered into an agreement to divest its 73.29% stake in Livestock Feeds PLC to Sunbeth Treenuts and Sesame Limited, an African agribusiness group. The agreed cash consideration is ₦19.5 billion, representing ₦8.85 per LSF share. The transaction remains subject to regulatory approvals before completion.

UAC originally acquired its majority position in Livestock Feeds in 2013. The filing states that under UAC's ownership, LSF revenues grew five times and profitability grew eighteen times. Livestock Feeds PLC, which traces its origins to 1963 when it was established by Pfizer, operates animal feed manufacturing plants in Ikeja, Aba and Kano, serving poultry, aquaculture and livestock farmers through a nationwide distribution network.

Sunbeth, the acquirer, describes itself as an agribusiness group with capabilities spanning agricultural origination, supply chain management, warehousing, trading and processing. The filing states Sunbeth intends to work with LSF's existing management and employees following completion. Banwo & Ighodalo advised UAC on the transaction, while FigPartners Africa and CardinalStone Partners served as financial advisers to Sunbeth, with Olaniwun Ajayi LP as its legal adviser.
