Airtel Africa begins new share buyback tranche in November 2026

Airtel Africa Plc (NGX: AIRTELAFRI) filed a corporate action notice on 5 November 2026 announcing the commencement of a further tranche of its share buyback programme. The filing discloses the terms of agreements entered into with Citigroup Global Markets Limited to conduct on-market purchases of ordinary shares.
Airtel Africa Plc has announced the start of a new tranche of its share buyback programme, originally disclosed on 22 May 2026. The company has appointed Citigroup Global Markets Limited as its agent to carry out on-market purchases of ordinary shares, with Citi acting as riskless principal under the agreements.
The remaining board authority permits the repurchase of up to 12,033,748 ordinary shares, representing 0.33% of the company's total issued share capital as at 22 May 2026. This follows the completion of an initial tranche on 28 September 2026.
The agreements with Citi cover two parallel elements: a non-discretionary element, under which Citi makes trading decisions independently of the company, and a discretionary element, under which the company may provide purchase instructions to Citi subject to Market Abuse Regulation provisions.
The agreements commenced on 5 November 2026 and are expected to terminate no later than 22 December 2026. All shares purchased under the programme will be cancelled, as the sole stated purpose is to reduce the company's capital. The filing explicitly confirms that no repurchases will be made on the Nigerian Exchange Limited.
